1. Acceptance of these terms

By accessing or using the Services, you agree to be bound by these Terms of Use and by our Privacy Policy. If you are using the Services on behalf of an organization, you confirm that you have the authority to bind that organization, and "you" refers to that organization.

If you do not agree with these terms, do not access or use the Services.

2. The Services

CtrlOne is a Windows endpoint security and lockdown platform that lets organizations deploy, configure, and monitor a managed agent across their Windows devices from a central web console.

The software is licensed, not sold. Your right to use the Services is subject to your subscription, order, or plan, and to any usage limits (such as device or operator caps) associated with it. We may update, add, or remove features from time to time.

3. Accounts and eligibility

To use certain parts of the Services you must create an operator account. You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity that occurs under your account. You must be at least 18 years old to use the Services.

Notify us promptly at support@ctrlone.online if you suspect any unauthorized use of your account.

4. Acceptable use

You agree not to misuse the Services. In particular, you will not:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services, other accounts, or the systems or networks connected to the Services.
• Reverse engineer, decompile, or disassemble the software, except to the extent this restriction is prohibited by applicable law.
• Resell, sublicense, or redistribute the Services without our prior written authorization.
• Deploy the agent on devices you do not own or are not authorized to manage.
• Interfere with or disrupt the integrity or performance of the Services.

5. Your responsibilities for managed devices

You are solely responsible for ensuring that you have the legal right and any required consent to deploy the agent and to collect data from the endpoints you manage. Where you use the Services to monitor or restrict devices used by employees, students, or other individuals, you are responsible for providing any notices and obtaining any consents required by the laws that apply to you.

As between you and UQuick, you are the controller of the data you collect from your managed devices, and you determine how that data is used.

6. Intellectual property

CtrlOne is patented software. All intellectual property rights in the Services, including the software, documentation, branding, and content, are owned by UQuick Technologies India Limited or its licensors. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription.

No rights are granted to you other than as expressly set out in these terms.

7. Third-party services

The Services may integrate with or link to third-party products and services (for example, alerting and reporting integrations). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Security software reduces risk but cannot guarantee that any system is fully protected.

9. Limitation of liability

To the maximum extent permitted by law, UQuick will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Services. Our total aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless UQuick and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Services, your violation of these terms, or your violation of any law or the rights of a third party.

11. Suspension and termination

We may suspend or terminate your access to the Services if you breach these terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Changes to these terms

We may update these Terms of Use from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised terms.

13. Governing law

These terms are governed by the laws of India, and the courts at Rajkot, Gujarat will have exclusive jurisdiction over any dispute arising out of or in connection with the Services, subject to any mandatory law that applies to you.
