Enterprise Licensing Policy

This Enterprise Licensing Policy ("Policy") governs the licensing, activation, deployment, renewal, and management of enterprise subscriptions for CtrlOne.Online ("CtrlOne", "Software", "Platform"), owned and operated by UQuick Technologies India Limited. This Policy forms an integral part of the End User License Agreement (EULA), Terms of Service, Service Level Agreement (SLA), and other legal documents published by CtrlOne. 1. Purpose

This Policy establishes standardized licensing rules for organizations using CtrlOne to centrally manage Windows endpoints through cloud or on-premise deployments. It explains:

  • Enterprise license models
  • Device allocation
  • Subscription terms
  • License activation
  • License transfers
  • MSP licensing
  • Compliance requirements
  • Audit rights
  • Renewal procedures
  • Restrictions

2. License Ownership

All licenses remain the exclusive intellectual property of UQuick Technologies India Limited. Purchasing a license grants a limited right to use the Software. No ownership of the software is transferred.

3. License Models

CtrlOne may offer the following license models.

3A. Trial License

Purpose: evaluation only. Duration options include 7 days, 15 days, 30 days, or a custom enterprise evaluation. Limitations:

  • Device limits
  • Premium features may be restricted
  • No production SLA
  • No commercial deployment

3B. Standard Business License

Designed for SMEs, offices, schools, cyber cafes, clinics, and small organizations. License is calculated per managed device (seat).

3C. Enterprise License

Designed for large enterprises, corporates, government, universities, healthcare, banking, manufacturing, and multi-location organizations. Feature availability depends upon purchased plan. Features include:

  • Unlimited policy creation
  • Enterprise administration
  • Advanced security
  • API access
  • Priority support
  • Compliance exports
  • Role-based access
  • Device groups
  • Audit reports
  • Remote management

3D. Managed Service Provider (MSP) License

Available only to approved MSP partners. Allows management of multiple customer tenants under one MSP account. Requires acceptance of a separate MSP Agreement.

3E. LAN (Offline) Enterprise License

Designed for organizations without Internet access. Separate pricing applies. Characteristics:

  • Local server deployment
  • Internal network management
  • Local activation
  • No cloud synchronization
  • Offline policy enforcement

4. Licensing Unit

Licensing is calculated using managed endpoints. One managed Windows computer equals one license seat. For example, 100 Windows PCs = 100 licenses, 500 PCs = 500 licenses, and 1000 PCs = 1000 licenses. Virtual machines also require licensing unless otherwise stated.

5. Supported Devices

Licenses apply to supported Windows operating systems only. Future operating systems may require updates. Support for Windows Server depends upon purchased edition. Current supported platforms include:

  • Windows 10
  • Windows 11
  • Supported Windows Enterprise Editions
  • Supported Windows Professional Editions

6. Named Organization License

Enterprise licenses are issued to a legal organization. Licenses cannot be shared between unrelated legal entities. For example, Company A cannot use licenses purchased by Company B.

7. Device Registration

Every managed endpoint is uniquely identified using factors including the following. This prevents unauthorized duplication.

  • Machine Identifier
  • Hardware fingerprint
  • TPM (where available)
  • Device signature
  • Secure activation token

8. License Activation

Activation requires valid licensing. Activation may occur using:

  • Cloud activation
  • Enterprise activation
  • Offline activation
  • LAN activation
  • Activation code
  • License key

9. Seat Consumption

A license seat is consumed when:

Removing software does not automatically free the seat. Administrators must remove devices properly from the console.

  • Agent is installed
  • Device registers
  • Device becomes managed
  • License is assigned

10. License Reassignment

Organizations may transfer licenses between devices provided:

Repeated excessive transfers may be restricted.

  • Old device is permanently removed
  • Previous installation is deactivated
  • License abuse is not detected

11. Device Replacement

Hardware replacement due to motherboard failure, computer replacement, asset refresh, or hardware damage may qualify for license reassignment. Additional verification may be required.

12. Multi-Site Deployment

Enterprise licenses may be deployed across multiple offices belonging to the same legal organization — for example headquarters, branch offices, regional offices, manufacturing plants, and educational campuses — provided all are owned by the licensed organization.

13. Multi-Tenant Restrictions

Standard Enterprise licenses cannot be used to manage unrelated organizations. For multi-tenant management, MSP Licensing is required.

14. Geographic Usage

Licenses are generally valid worldwide unless restricted by export regulations, government sanctions, or applicable laws. Customers are responsible for compliance with local laws.

15. Subscription Terms

Subscription duration is specified on the invoice or Order Form. Typical subscription periods include:

  • Monthly
  • Annual
  • Three-Year
  • Five-Year
  • Custom Enterprise Agreements

16. Renewal

Renewal is required before expiration to continue:

Expired subscriptions may result in reduced functionality depending on license type.

  • Cloud management
  • Premium features
  • Updates
  • Support
  • New feature releases

17. License Expiration

After expiration:

Previously applied endpoint policies may continue operating based on the configured offline enforcement period and product behavior, but new cloud-managed operations may be unavailable.

  • Cloud features may stop functioning
  • Administrative access may become limited
  • Support services terminate unless renewed

18. License Upgrades

Price differences may apply. Customers may upgrade:

  • Business → Enterprise
  • Enterprise → Higher Tier
  • Additional Device Packs
  • MSP Plans
  • LAN Deployment

19. Downgrades

Downgrades may be allowed only during renewal. Refunds are generally not issued for downgrades.

20. Educational Licensing

Educational discounts may be available for schools, colleges, universities, and government educational institutions. Verification may be required.

21. Government Licensing

Government departments may receive customized procurement, volume licensing, tender pricing, and special deployment options, subject to approved procurement processes.

22. Volume Licensing

Organizations managing large fleets may qualify for volume licensing. Pricing is determined based on:

  • Number of devices
  • Subscription duration
  • Support level
  • Deployment model
  • Enterprise requirements

23. License Compliance

Customers agree to:

  • Use only purchased seats
  • Avoid unauthorized copying
  • Maintain accurate asset records
  • Cooperate during licensing verification

24. Audit Rights

CtrlOne may request reasonable licensing verification where misuse is suspected. Audits will be conducted reasonably and with prior notice where practicable. Customers may be asked to provide:

  • Active device count
  • License allocation
  • Deployment records

25. Prohibited Activities

Customers shall not:

  • Share license keys publicly
  • Sell license keys without authorization
  • Reverse engineer licensing mechanisms
  • Circumvent activation
  • Modify licensing components
  • Use cracked software
  • Create fake activations
  • Tamper with licensing verification
  • Duplicate enterprise licenses
  • Bypass seat limitations

26. Unauthorized Resale

Only authorized partners may resell CtrlOne licenses. Unauthorized resale may result in:

  • License suspension
  • Termination
  • Legal action

27. White Label Licensing

White-label deployments require a separate written agreement. Standard Enterprise licenses do not permit:

  • Rebranding
  • OEM redistribution
  • White-label resale

28. OEM Licensing

Hardware manufacturers must obtain a separate OEM License Agreement before preinstalling CtrlOne.

29. API Licensing

API access may be limited to Enterprise plans. Rate limits and technical restrictions may apply.

30. Support Eligibility

Technical support is available only for active subscriptions unless otherwise agreed in writing. Support levels are governed by the applicable Service Level Agreement (SLA).

31. Software Updates

Customers with active subscriptions receive updates according to the Software Update Policy and their purchased plan. Some major releases or premium modules may require additional licensing depending on the commercial offering.

32. Third-Party Components

CtrlOne may include licensed third-party software. Such components remain subject to their respective licenses.

33. Data Protection

Licensing information may include the following. Processing of such information is governed by the Privacy Policy and Data Processing Agreement (DPA).

  • Organization Name
  • License ID
  • Device Identifier
  • Activation Status
  • Subscription Information

34. Suspension

Licenses may be suspended for:

  • Fraud
  • Payment default
  • Unauthorized redistribution
  • Security abuse
  • Violation of agreements

35. Termination

CtrlOne may terminate licenses for material breaches of this Policy or related agreements. Upon termination:

  • Rights to use the Software cease
  • Customers must discontinue use and uninstall the Software where required by the applicable agreements

36. Limitation of Liability

CtrlOne's liability shall be limited to the maximum extent permitted under applicable law and as described in the EULA and Terms of Service.

37. Governing Law

This Policy shall be governed by the laws of India. Subject to applicable consumer protection laws, courts located in Rajkot, Gujarat, India shall have exclusive jurisdiction over disputes arising under this Policy.

38. Changes to this Policy

CtrlOne may revise this Enterprise Licensing Policy from time to time. Updated versions become effective upon publication on the official website unless otherwise stated. Continued use of the Software after publication constitutes acceptance of the revised Policy.
