End User License Agreement (EULA)

1. About CtrlOne

CtrlOne is an enterprise Windows Endpoint Policy Management platform that allows organizations to centrally manage Windows devices through cloud or LAN deployment.

The platform includes but is not limited to:

• CtrlOne Cloud Platform
• Windows Agent
• Admin Console
• LAN Version
• Endpoint Management
• Browser Control
• USB Control
• Application Control
• Content Filtering
• Asset Management
• Remote Commands
• Auto Scheduler
• Restore Module
• Security Policies
• Reporting
• APIs
• Future Updates

2. License Grant

Subject to this Agreement and successful activation, UQuick Technologies India Limited grants you a limited, non-exclusive, non-transferable, revocable license to use CtrlOne.

The license is granted only for:

• Your organization
• The purchased number of devices
• The purchased subscription period
• The purchased edition

2.1 Ownership of the license

Ownership never transfers to the customer.

3. Subscription

Cloud licenses are subscription-based. Examples include 1 Year, 3 Year, Enterprise Plans, and MSP Plans.

After expiration:

• Policies may stop syncing
• Cloud management may stop working
• Premium features may become unavailable

3.1 Offline behavior after expiration

Offline policies already applied may continue according to product configuration.

4. LAN Version

LAN Edition is licensed separately. The LAN Version:

• Requires a valid license
• Works within the customer's infrastructure
• May not require Internet after activation (depending on deployment)
• Cannot be redistributed
• Cannot be hosted for third parties without written permission

5. Device Licensing

Licenses are issued per managed endpoint unless otherwise agreed. Examples include 50 Devices, 100 Devices, 500 Devices, and Unlimited Enterprise.

Device licenses cannot be shared simultaneously across multiple organizations.

6. Ownership

CtrlOne remains the exclusive intellectual property of UQuick Technologies India Limited, including:

• Software
• UI
• Code
• Databases
• APIs
• Documentation
• Logos
• Trademarks
• Algorithms
• Security technologies
• Licensing systems

6.1 No transfer of ownership

No ownership is transferred.

7. Restrictions

You may NOT:

• Reverse engineer
• Decompile
• Disassemble
• Modify binaries
• Bypass licensing
• Remove security protections
• Remove copyright notices
• Create derivative works
• Sell without authorization
• Lease
• Sublicense
• Redistribute
• Mirror the cloud platform
• Crack activation
• Bypass device limits
• Interfere with update services

7.1 Consequences of unauthorized use

Unauthorized use immediately terminates this license.

8. Administrative Responsibility

The customer is fully responsible for policies configured within CtrlOne. This includes:

• USB restrictions
• Application blocking
• Browser restrictions
• Website filtering
• Registry controls
• Windows restrictions
• Scheduled policies
• Device lockdown
• User permissions

8.1 Company responsibility

The Company is not responsible for incorrect policy configurations created by administrators.

9. Organization Responsibility

Customers are responsible for:

• Selecting correct policies
• Reviewing policy assignments
• Protecting administrator accounts
• Securing passwords
• Enabling MFA where available
• Maintaining backups
• Complying with local laws
• Obtaining employee consent where required

10. Internet Connectivity

Certain cloud features require Internet connectivity, including:

• Policy synchronization
• Reporting
• Licensing
• Updates
• Notifications
• Remote management

10.1 LAN deployments

LAN deployments may have different requirements.

11. Updates

The Company may release:

• Security updates
• Feature updates
• Bug fixes
• Performance improvements
• Compatibility updates

11.1 Automatic updates

Some updates may install automatically. Failure to update may reduce security or compatibility.

12. Beta Features

Beta features are provided for evaluation purposes. They:

• May change
• May contain bugs
• May be removed
• Are provided without production guarantees

13. Third-Party Components

CtrlOne may include or interact with third-party software or Windows components. Such components remain subject to their respective licenses.

14. Data & Privacy

CtrlOne processes only the information necessary to deliver the licensed services, such as device information, policy configuration, licensing data, audit events, and administrator account details, in accordance with the applicable Privacy Policy and customer configuration. Administrators are responsible for ensuring their use of monitoring and management features complies with applicable privacy and employment laws.

15. Security

CtrlOne implements multiple security technologies including:

• Encrypted communications
• Authentication
• Device verification
• Tamper resistance
• Policy validation
• Audit logging

15.1 No absolute guarantee

No software can guarantee complete protection against every threat.

16. Availability

Cloud services may occasionally become unavailable because of:

• Maintenance
• Upgrades
• Internet outages
• Cloud provider issues
• Force majeure
• Cyber attacks

16.1 No uptime guarantee

The Company does not guarantee uninterrupted availability.

17. No Guarantee

CtrlOne assists organizations in managing Windows endpoints but does not guarantee:

• Prevention of all malware
• Prevention of ransomware
• Prevention of insider threats
• Prevention of human error
• Compliance certification
• Uninterrupted operation
• Compatibility with every third-party application

18. Warranty Disclaimer

CtrlOne is provided "AS IS" and "AS AVAILABLE."

To the maximum extent permitted by law, UQuick Technologies India Limited disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of Liability

To the fullest extent permitted by applicable law, UQuick Technologies India Limited shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, data loss, or loss of goodwill arising from the use of CtrlOne, even if advised of the possibility of such damages. Any direct liability shall not exceed the amount actually paid by the customer for the applicable subscription during the twelve (12) months immediately preceding the event giving rise to the claim.

20. Indemnification

You agree to indemnify and hold harmless UQuick Technologies India Limited against claims arising from:

• Misuse
• Unlawful activities
• Policy misuse
• Employee disputes
• Regulatory violations
• Unauthorized deployment

21. Suspension

The Company may suspend accounts, licenses, or cloud services if:

• Payment is overdue
• Fraud is suspected
• Abuse is detected
• Licensing is violated
• Security risks exist

22. Termination

This Agreement terminates immediately if:

• The license expires
• The subscription ends
• Terms are violated
• The software is unlawfully modified
• Activation is bypassed

22.1 Effect of termination

Upon termination, all rights granted under this Agreement cease.

23. Export Compliance

You agree to comply with all applicable export control and sanctions laws governing the software.

24. Governing Law

This Agreement shall be governed by the laws of the Republic of India. Courts located in Rajkot, Gujarat, India shall have exclusive jurisdiction unless otherwise required by applicable law.

25. Changes to this Agreement

UQuick Technologies India Limited may update this EULA from time to time. Continued use after updates constitutes acceptance of the revised Agreement.
